If you are entering into this agreement on behalf of a healthcare organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use LangExtract services.
2. Service Description

LangExtract is an artificial intelligence-powered platform designed to extract structured information from unstructured medical text documents. The Service is specifically designed for healthcare organizations, medical professionals, and clinical researchers.

2.3 Service Limitations
LangExtract is a tool designed to assist healthcare professionals and should not be used as a substitute for professional medical judgment, diagnosis, or treatment. All extracted information should be reviewed and validated by qualified healthcare professionals before use in clinical decision-making.
3. Eligibility and Registration
3.1 Eligible Users
LangExtract services are available only to:
- Licensed healthcare organizations and medical institutions
- Healthcare professionals with valid medical licenses
- Clinical researchers affiliated with accredited institutions
- Health technology companies serving healthcare organizations
- Government health agencies and public health organizations
3.2 Registration Requirements
To access LangExtract services, you must:
- Provide accurate and complete registration information
- Verify your healthcare organization credentials
- Execute a Business Associate Agreement (BAA) if processing PHI
- Maintain current professional licenses and certifications

4. User Responsibilities

- All applicable federal, state, and local laws

- Professional medical standards and ethics
- Institutional policies and procedures
- These Terms of Service and our Privacy Policy

As a covered entity using LangExtract, you agree to:

- Ensure you have appropriate authorizations for PHI use

7.1 Service Availability

If we fail to meet our uptime commitment, eligible customers may receive service credits as specified in their service agreement. Credits are the sole remedy for service availability issues.
8. Intellectual Property
8.1 Service Ownership
LangExtract platform, including all software, algorithms, models, and documentation, is owned by Google and protected by intellectual property laws. These Terms grant you a limited, non-exclusive license to use the Service.
8.2 Your Data Rights
You retain all rights to your medical data and content processed through LangExtract. We do not claim ownership of your data and will not use your medical information for any purpose other than providing the Service.
8.3 Extracted Data
Structured data extracted from your medical text belongs to you. You may use, modify, and distribute extracted data subject to applicable healthcare regulations and patient privacy requirements.
8.4 Feedback
Any feedback, suggestions, or improvements you provide regarding LangExtract may be used by Google to enhance the Service without compensation or attribution obligations.
9. Payment Terms
9.1 Pricing and Billing
LangExtract pricing is based on usage volume, features accessed, and service level selected. Current pricing is available on our website and in your service agreement. All fees are non-refundable except as specifically provided.
9.2 Payment Methods
We accept payment via credit card, ACH transfer, or wire transfer for enterprise accounts. Payment terms are typically net 30 days for invoiced customers.
9.3 Late Payments
Late payments may result in service suspension and interest charges at the rate of 1.5% per month. We reserve the right to engage collection agencies for delinquent accounts.
9.4 Price Changes
We may modify pricing with 90 days' written notice. Continued use of the Service after price changes constitutes acceptance of new pricing.

10.1 Service Disclaimers
THE LANGEXTRACT SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
IN NO EVENT SHALL GOOGLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY.
10.3 Maximum Liability
Google's total liability for all claims related to LangExtract services shall not exceed the amount paid by you for the Service during the twelve (12) months preceding the claim.
10.4 Healthcare Specific Limitations
We are not liable for clinical decisions made based on extracted data, patient care outcomes, or regulatory compliance issues arising from your use of the Service. You assume full responsibility for clinical oversight and validation of AI-assisted processes.
11. Indemnification
11.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Google from any claims, damages, losses, or expenses arising from:
- Your use of LangExtract services in violation of these Terms
- Your breach of healthcare regulations or professional standards
- Clinical decisions made using extracted data
- Unauthorized access to or disclosure of patient information
- Your violation of any third-party rights
11.2 Google's Indemnification
Google will defend and indemnify you against third-party claims that LangExtract services infringe valid patents or copyrights, subject to your prompt notification and cooperation in defense.
12. Termination
12.1 Termination by You
You may terminate your LangExtract account at any time with 30 days' written notice. Termination does not relieve you of payment obligations for services used prior to termination.
12.2 Termination by Google
We may terminate or suspend your access to LangExtract services:
- Immediately for material breach of these Terms
- With 30 days' notice for convenience
- Immediately if required by law or regulatory action
- For non-payment after cure period expires
12.3 Effect of Termination
Upon termination, your access to LangExtract services will cease, and we will delete your data according to our retention policies and legal requirements. You remain liable for all charges incurred before termination.
13. Governing Law
13.1 Jurisdiction
These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles. Any disputes shall be resolved in the federal or state courts of Santa Clara County, California.
13.2 Healthcare Regulations
Notwithstanding the above, healthcare-specific obligations under HIPAA and other applicable healthcare regulations shall be governed by federal law and relevant state healthcare laws.
13.3 International Users
International users acknowledge that LangExtract services are controlled and operated from the United States and may be subject to U.S. export controls and trade sanctions.
14. Changes to Terms
14.1 Modification Process
We may modify these Terms from time to time. Material changes will be communicated through:
- Email notification to registered users
- Prominent notice on our website
- In-application notifications
- Updates to Business Associate Agreements as necessary
14.2 Acceptance of Changes
Continued use of LangExtract services after Terms modifications constitutes acceptance of the revised terms. If you do not agree to modified terms, you must discontinue use of the Service.
14.3 Healthcare-Specific Changes
Changes affecting healthcare compliance obligations or PHI handling will be communicated with at least 90 days' advance notice and may require execution of updated Business Associate Agreements.

These Terms of Service, together with our Privacy Policy and any applicable Business Associate Agreement, constitute the entire agreement between you and Google regarding LangExtract services. Any conflicting terms in purchase orders or other documents are expressly rejected unless specifically agreed to in writing by Google.
